These Terms of Service (the "Terms") are a binding agreement between you and [Company legal name], a company registered at [Registered address] ("MarvX", "we", "us" or "our"). They govern your use of the MarvX website at marvx.io, the dashboard at app.marvx.io, the MarvX API and command-line tools, and any related services (together, the "Service").
Please read them carefully. Our Privacy Policy explains how we handle personal data and forms part of these Terms.
1. Acceptance of these Terms#
By creating an account, or by accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organisation, you confirm that you have authority to bind it, and "you" means that organisation.
If you do not agree to these Terms, do not use the Service.
You must be at least 16 years old, and old enough to form a binding contract where you live, to use the Service.
2. Accounts and security#
- Accurate information. Give us accurate, complete account information and keep it up to date.
- Keep your credentials safe. You are responsible for your password, API tokens and connected accounts, and for everything that happens under your account. We strongly recommend turning on two-factor authentication.
- Workspaces and teams. A workspace owner controls the workspace, its billing and who has access. Members act on the owner's behalf, and the workspace owner is responsible for their use of the Service.
- Tell us about misuse. Contact us immediately at [Contact email: privacy@marvx.io] if you suspect unauthorised access to your account.
3. Acceptable use#
You may use the Service only for lawful purposes and in line with these Terms. You must not, and must not allow anyone else to:
- Deploy, host or distribute malware, viruses, ransomware, botnets, phishing pages or any other malicious code;
- Run cryptocurrency mining, proof-of-work or similar workloads;
- Send spam or unsolicited bulk messages, or host services that do;
- Host, store or share illegal content, including content that infringes intellectual property rights, sexually exploits minors, promotes terrorism or violence, or is unlawfully hateful or harassing;
- Abuse platform resources, including deliberately exhausting CPU, memory, disk or bandwidth, circumventing plan limits or quotas, or creating multiple accounts to get around limits or free-plan restrictions;
- Perform network scanning, port scanning, vulnerability scanning, penetration testing or denial-of-service attacks against MarvX, other customers or any third party without written permission from the target;
- Attempt to gain unauthorised access to the Service, to other customers' workspaces or data, or to break out of the isolation between applications;
- Run open proxies, anonymising relays or services designed to evade the law;
- Reverse engineer, resell or sublicense the Service, except as permitted by law or agreed with us in writing;
- Use the Service in a way that could harm MarvX, our infrastructure providers or other customers, or that breaks any applicable law or regulation, including export control and sanctions laws.
We may investigate suspected violations and take the action described in Suspension and termination, including removing content or stopping applications without notice where necessary to protect the Service or others.
4. Your content#
"Customer Content" means the code, configuration, container images, applications, databases, files and other data you or your users deploy to or store on the Service.
- You own your content. As between you and MarvX, you keep all rights in your Customer Content.
- Licence to operate the Service. You give MarvX a worldwide, non-exclusive, royalty-free licence to host, copy, build, run, transmit, back up and display your Customer Content only as needed to provide, secure and support the Service, and as these Terms otherwise allow.
- Your responsibility. You are responsible for your Customer Content and for having all rights, permissions and consents needed for it — including a lawful basis for any personal data about your end users. For personal data in Customer Content, you are the controller and MarvX is your processor; a Data Processing Agreement is available on request.
- Secrets. Store credentials in environment variables marked as secret rather than in your code or build output.
5. AI features#
The Service includes AI features, such as the AI build debugger, which analyses failed builds and suggests fixes. To provide these features we send relevant build logs, configuration and code snippets to our AI provider, as described in our Privacy Policy.
- Outputs may be wrong. AI-generated suggestions can be inaccurate, incomplete, insecure or unsuitable for your situation.
- Review before applying. You are responsible for reviewing every suggestion before you apply it or redeploy. MarvX will not apply an AI suggestion to your application without your approval.
- No guarantee. AI outputs are provided "as is" and are not professional advice. Plan limits may apply to the number of AI analyses you can run.
6. Plans, billing and payments#
6.1 Plans and add-ons#
The Service is offered on a free plan and on paid plans, as described on our pricing page. Paid plans are billed monthly in advance. You can also buy:
- Add-ons, which raise specific limits (for example extra apps or team members) and are billed on a recurring basis alongside your plan; and
- Credit packs, which are one-off purchases that add extra capacity (for example additional deployments or AI analyses). Unless we say otherwise, credit packs are non-refundable and expire when your workspace is closed.
6.2 Usage-based charges#
Each plan includes an allowance of memory (RAM) usage. If your applications use more than the included allowance in a billing month, you will be charged for the RAM overage at the rate shown in your dashboard and on our pricing page, billed after the month ends. Your dashboard shows your current usage and an estimate of any overage.
6.3 Payment processing#
Payments are processed by Stripe or, for customers in Africa, by Paystack. By providing a payment method, you authorise us and our payment provider to charge it for all fees you incur, including recurring subscription fees, add-ons and usage-based charges. Where you pay in a currency other than US dollars, the amount charged is calculated using the exchange rate shown at checkout and may vary over time. We never store your full card number.
6.4 Failed payments#
If a payment fails, we will tell you and retry it. You will have a grace period of 10 days to update your payment method or settle the balance. If payment has still not been received when the grace period ends, your applications will be paused until the overdue amount is paid. Your data is not deleted when apps are paused, but it may be deleted if the account stays unpaid and is later terminated under section 9.
6.5 Price changes#
We may change our prices. We will give you at least 30 days' notice of any price increase for your paid plan, and the new price will apply from your next billing period after the notice. If you do not agree, you can cancel before it takes effect.
6.6 Taxes#
Prices do not include taxes unless stated. You are responsible for any sales, use, value-added, goods and services or similar taxes, duties or levies that apply to your purchases, except for taxes on our income. Where we are required to collect tax, we will add it to your invoice.
7. Cancellation and refunds#
- Cancelling. You can cancel a paid plan or recurring add-on at any time from the billing page. Cancellation takes effect at the end of the current billing period, and you will keep access to paid features until then.
- Refunds. Fees are payable in advance and, except where required by law or stated otherwise in these Terms, are non-refundable, including for partial months, unused allowances and credit packs. If you believe you were charged in error, contact us within 30 days and we will review it.
- Downgrades. If you move to a cheaper plan, your workspace must fit within the new plan's limits, and we may stop applications that exceed them.
8. Free plan and fair use#
The free plan is provided for evaluation, hobby and small projects. We may limit, change or discontinue free plan features, and we may stop free-plan applications that are inactive or that consume excessive resources.
9. Suspension and termination#
- By you. You may stop using the Service and close your account at any time.
- By us — suspension. We may suspend your account, workspace or applications, with or without notice, if we reasonably believe that you have breached these Terms (including the acceptable use rules), that your use poses a security risk or could harm the Service or others, if payment is overdue after the grace period, or if we are required to by law.
- By us — termination. We may terminate these Terms and your access to the Service for material or repeated breach, for prolonged non-payment, or on 30 days' notice for any other reason. If we terminate for convenience, we will refund any prepaid fees for the period after termination.
- After termination. Your right to use the Service ends. You should export your data before your account is closed. After closure, we will delete your Customer Content within a reasonable period, subject to our backup cycle and legal obligations. Sections that by their nature should survive termination will survive, including sections 4, 10–16.
10. Availability, support and backups#
- Availability. We work hard to keep the Service reliable, but we do not guarantee that it will be uninterrupted, error-free or available at any particular time. No service level agreement (SLA) applies unless we have agreed one with you in writing. We may carry out planned maintenance and will try to give advance notice where it is likely to affect you.
- Changes to the Service. We may add, change or remove features. If we remove a material feature of a paid plan, we will give you reasonable notice.
- Backups are your responsibility. We back up our own platform, and we may offer backup features for databases and volumes, but you are responsible for keeping your own independent backups of your Customer Content. We are not responsible for loss of Customer Content, except to the extent caused by our breach of these Terms.
11. Intellectual property#
The Service, including our software, website, documentation, designs, logos and the "MarvX" name, is owned by MarvX or our licensors and is protected by intellectual property laws. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription; they do not transfer any ownership to you. If you send us feedback or suggestions, we may use them without any obligation to you.
12. Third-party services#
The Service works with third-party services, such as GitHub, Google, Stripe, Paystack, Anthropic and Amazon Web Services, and you may choose to connect other services or deploy third-party software (for example from our template catalogue). Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for third-party services, and they may change or stop working with MarvX at any time.
13. Disclaimer of warranties#
To the fullest extent permitted by law, the Service, including AI features, templates and any content we provide, is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy or uninterrupted availability. Some jurisdictions do not allow certain warranties to be excluded, so some of these exclusions may not apply to you.
14. Limitation of liability#
To the fullest extent permitted by law:
- MarvX will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill or data, however caused, even if we were told they were possible; and
- MarvX's total liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid to MarvX for the Service in the 12 months before the event giving rise to the claim, and (b) US$100.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.
15. Indemnity#
You will defend, indemnify and hold harmless MarvX and its officers, employees and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of your Customer Content, your applications, your breach of these Terms, or your violation of any law or third-party rights.
16. Governing law and disputes#
These Terms are governed by the laws of [Governing law/jurisdiction], without regard to its conflict-of-laws rules. The courts of [Governing law/jurisdiction] will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek urgent injunctive relief in any competent court. If you are a consumer, you may also have the benefit of mandatory protections of the law where you live.
Before starting formal proceedings, please contact us so we can try to resolve the issue informally.
17. Changes to these Terms#
We may update these Terms from time to time. Each published version has a version number and a "Last updated" date shown at the top of this page. If we make material changes, we will notify you by email or through the dashboard at least 30 days before they take effect, unless the change is required by law or relates to a new feature, in which case it may apply sooner. By continuing to use the Service after the changes take effect, you agree to the updated Terms.
18. General#
- Entire agreement. These Terms, together with our Privacy Policy, any order form, and any Data Processing Agreement we sign with you, are the entire agreement between you and MarvX about the Service.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
- No waiver. If we do not enforce a provision, that is not a waiver of our right to do so later.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, except for payment obligations.
- Notices. We may send notices to the email address on your account or show them in the dashboard. You can send notices to us using the details below.
